A) ORGANISATION
This statement applies to CarePoint365 Ltd (referred to in this statement as ‘the Organisation ’). The information included in the statement refers to the financial year 2025.
B) ORGANISATIONAL STRUCTURE
Our Organisation is a specialised software development company serving the UK social care sector. We operate under the leadership of a Board of Directors, comprising a Chief Executive Officer (CEO), Non-Executive Director, and supported by approved advisors and shareholders who provide strategic oversight and governance.
The company is headquartered in London, United Kingdom, with an additional operational centre in Durban, South Africa. Our Durban office primarily manages our customer support services, while our London headquarters houses our core business functions.
Our Organisation al structure is built around cross-functional teams rather than traditional departments. These teams include Product Delivery, Product Development, Customer Services and Support, and Sales and Marketing. This structure enables us to maintain agility and provide integrated solutions for our clients in the social care sector.
We operate as an independent entity and are not part of any larger corporate group or parent company. Our business operations run consistently throughout the year, with no seasonal variations in our activities or workforce requirements.
C) DEFINITIONS
The Organisation considers that modern slavery encompasses:
· Human trafficking;
· Forced work, through mental or physical threat;
· Being owned or controlled by an employer through mental or physical abuse of the threat of abuse;
· Being dehumanised, treated as a commodity or being bought or sold as property;
· Being physically constrained or to have restriction placed on freedom of movement.
D) COMMITMENT
The Organisation acknowledges its responsibilities in relation to tackling modern slavery and commits to complying with the provisions in the Modern Slavery Act 2015. The Organisation understands that this requires an ongoing review of both its internal practices in relation to its labour force and, additionally, its supply chains.
The Organisation does not enter into business with any other Organisation, in the United Kingdom or abroad, which knowingly supports or is found to involve itself in slavery, servitude and forced or compulsory labour.
No labour provided to the Organisation in the pursuance of the provision of its own services is obtained by means of slavery or human trafficking. The Organisation strictly adheres to the minimum standards required in relation to its responsibilities under relevant employment legislation in South Africa, and in many cases exceeds those minimums in relation to its employees.
E) SUPPLY CHAINS
As a Power Platform software development company, our supply chain is relatively straightforward and primarily focused on digital services. Our key suppliers include Microsoft for the Power Platform infrastructure, and we occasionally engage subcontractors to support our software development processes. We also utilise professional service providers for legal and accounting support.
Our physical infrastructure requirements are minimal as we operate from serviced office facilities, where building management, maintenance, and cleaning services are provided through our office space agreements.
Given the nature of our business and supply chain, which is predominantly focused on digital services and professional expertise, we assess our exposure to modern slavery risks to be relatively low. However, we remain vigilant in our supplier selection process and maintain appropriate due diligence procedures.
F) POTENTIAL EXPOSURE
In general, the Organisation considers its exposure to slavery/human trafficking to be limited as we vet all staff and restrict the use of third party services. Nonetheless, it has taken steps to ensure that such practices do not take place in its business nor the business of any Organisation that supplies goods and services to it.
G) STEPS
The Organisation carries out due diligence processes in relation to ensuring slavery and human trafficking does not take place in its Organisation or supply chains, including conducting a review of the controls of its suppliers.
The Organisation has not, to its knowledge, conducted any business with another Organisation which has been found to have involved itself with modern slavery.
In accordance with section 54(4) of the Modern Slavery Act 2015, the Organisation has taken the following steps to ensure that modern slavery is not taking place:
· Periodic reviews of our supplier contracts to include termination powers in the event that the supplier is, or is suspected, to be involved in modern slavery;
· put measures in place to identify and assess the potential risks in our supply chains.
H) KEY PERFORMANCE INDICATORS
The Organisation has established the following key performance indicators (KPIs) to measure our effectiveness in ensuring that modern slavery is not taking place in our business or supply chains:
Supplier Assessment Compliance: We monitor and record the percentage of new suppliers who have undergone our due diligence screening process before engagement, aiming to maintain 100% compliance with our supplier verification procedures.
Staff Awareness and Reporting: We track staff acknowledgment of our modern slavery policies contained within our employee handbook, and monitor any concerns or incidents reported through our established reporting channels.
Policy Review and Updates: We conduct annual reviews of our modern slavery policies and procedures to ensure they remain effective and appropriate for our business operations and supply chain risks.
